Vantage Terms of Service

These Terms of Service ("Terms") govern your use of Vantage, a product of Intuidy Technologies, Inc. ("Intuidy," "we," "us"). By using Vantage ("the Services"), you agree to these Terms.
1. Acceptance of Terms
By creating an account or using the Services, you represent that you are of legal age and have authority to enter this agreement. If acting on behalf of an organization, you represent authority to bind that organization.
2. Description of Service
Vantage is a cloud-based business intelligence, workflow automation, and AI platform. The Services include builder tools, templates, AI-driven workflows, a marketplace, third-party integrations, and related support.
3. Accounts and Access
- You are responsible for all activity under your account.
- Keep credentials secure and confidential.
- Do not share accounts with unauthorized users.
- Notify Intuidy immediately of unauthorized use or suspected breaches.
4. Subscription Plans and Payments
- Access requires a valid subscription billed monthly or annually.
- All payments are final and non-refundable except as required by law.
- Pricing may change with at least 7 days' notice.
- Unpaid fees may result in suspension or termination.
5. License and Restrictions
Intuidy grants you a limited, non-exclusive, non-transferable, revocable license to use the Services for internal business purposes.
You may not:
- Reverse engineer, decompile, copy, or create derivative works of the Services
- Use the Services for unlawful, harmful, or fraudulent activity
- Attempt unauthorized access to any part of the platform
- Misuse AI capabilities for harmful or disallowed content
- Upload viruses, malware, or harmful code
- Infringe the intellectual property rights of others
6. Beta and Experimental Features
Beta, Early Access, or Preview features are provided "AS IS" and may be incomplete, unstable, or discontinued at any time. You use them at your own risk. Intuidy disclaims all liability for data loss or damages from Beta features.
7. User Content and Marketplace
If you build, publish, or share templates, workflows, or content ("User Content"):
- You retain ownership but grant Intuidy a worldwide, perpetual, royalty-free, sublicensable license to use, host, promote, and distribute your User Content within Vantage.
- Intuidy may review, reject, or remove User Content at its discretion.
- You are responsible for legality, originality, and non-infringement of your User Content.
- Marketplace transactions may be subject to additional terms including fees and revenue sharing.
8. AI Features
Vantage includes embedded AI for workflow assistance and automation.
- AI outputs are probabilistic and may contain errors.
- You are solely responsible for reviewing and validating all AI-generated actions and outputs before relying on them.
- Intuidy disclaims all liability for decisions or losses arising from AI-generated content.
9. Data Privacy and Security
- Data is processed per our Privacy Policy, incorporated by reference.
- We use industry-standard encryption, access controls, and audit logs but cannot guarantee absolute security.
- You retain ownership of your data. We do not sell your data.
- You are responsible for compliance with applicable data protection and privacy laws.
- Maintain your own backups for critical data.
10. Third-Party Integrations
- Vantage integrates with third-party services (Google, Microsoft, Stripe, databases, and others).
- Use of integrations is subject to the third-party provider's terms and conditions.
- When you connect an integration, you authorize data exchange as needed for the integration to function.
- You may disconnect any integration at any time from Settings.
- Intuidy is not liable for outages, failures, data loss, or damages from third-party services.
11. Intellectual Property
All IP in Vantage — software, documentation, algorithms, and branding — is owned by Intuidy or its licensors. The Services are licensed, not sold. Do not use Intuidy trademarks without written consent.
12. Indemnification
You agree to indemnify, defend, and hold harmless Intuidy, its affiliates, officers, employees, and agents from claims, damages, liabilities, and expenses arising from your use of the Services, User Content, violation of these Terms, or violation of any law or third-party rights.
13. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, INTUIDY SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR GOODWILL.
INTUIDY'S TOTAL AGGREGATE LIABILITY SHALL NOT EXCEED THE GREATER OF (A) AMOUNTS PAID BY YOU IN THE 12 MONTHS PRECEDING THE CLAIM OR (B) $100.
NO ACTION MAY BE BROUGHT MORE THAN ONE (1) YEAR AFTER THE CAUSE ACCRUED. SOME JURISDICTIONS LIMIT THESE EXCLUSIONS; IN SUCH CASES, LIABILITY IS LIMITED TO THE MAXIMUM EXTENT PERMITTED.
14. Disclaimers
THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. INTUIDY DOES NOT WARRANT UNINTERRUPTED, ERROR-FREE, OR SECURE OPERATION.
15. Governing Law and Disputes
- These Terms are governed by the laws of the State of Kansas.
- Disputes shall be resolved exclusively in courts located in Kansas.
- You waive participation in class action lawsuits or class-wide arbitration.
- Claims must be brought individually.
16. Termination
- You may cancel your account at any time via Settings or by contacting support.
- Intuidy may suspend or terminate accounts that violate these Terms or pose risk to our systems.
- Upon termination, access to your account, workflows, and marketplace content ends. Data may be deleted per our retention policy.
17. Modifications
Intuidy may update these Terms at any time. Material changes will be communicated via email or platform notification. Continued use constitutes acceptance.
18. General
- Severability: Unenforceable provisions do not affect remaining provisions.
- Waiver: Failure to enforce a provision is not a waiver.
- Entire agreement: These Terms are the complete agreement and supersede all prior agreements.
