Vantage Terms of Service

Welcome to Vantage, a product of Intuidy Technologies, Inc. (“Intuidy”, “we”, “us”, or “our”).
These Terms of Service (“Terms”) govern your access to and use of the Vantage platform, including all services, applications, integrations, websites, templates, and communities provided by Intuidy (collectively, the “Services”).

By accessing or using Vantage, you acknowledge and agree to be bound by these Terms. If you do not agree to these Terms, you must not use the Services.

1. Acceptance of Terms

By creating an account or using the Services, you represent that you are of legal age and have the authority to enter into this legally binding agreement. If you are using the Services on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

2. Description of Service

Vantage is a cloud-based workflow automation and AI platform. The Services include access to builder tools, templates, AI-driven workflows, a marketplace, integrations, and related support.

3. Accounts and Access

  • You are responsible for all activities conducted under your account.

  • You must keep your credentials secure and confidential.

  • You may not share your account or credentials with unauthorized users.

  • You must notify Intuidy immediately of any unauthorized use or suspected breach of security.

4. Subscription Plans, Payments, and Refunds

  • Access to Vantage requires a valid subscription.

  • Fees are billed in advance on a monthly or annual basis, as selected at sign-up.

  • All payments are final and non-refundable, except as required by law or expressly stated.

  • Intuidy may change pricing or plans with at least 7 days’ notice.

  • Failure to pay fees may result in suspension or termination of your account.

5. Licensing and Use Restrictions

  • Subject to these Terms, Intuidy grants you a limited, non-exclusive, non-transferable, revocable license to use the Services for your internal business purposes only.

  • You may not reverse engineer, decompile, disassemble, copy, modify, or create derivative works of the Services.

  • You may not use the Services for any unlawful, harmful, or fraudulent activity.

6. Beta Access and Experimental Features

  • Some Services may be offered as Beta, Early Access, or Preview (“Beta Services”).

  • Beta Services are provided “AS IS” and may be incomplete, unstable, or subject to change.

  • You use Beta Services at your own risk. Intuidy disclaims all liability for data loss, damages, or interruptions arising from Beta Services.

  • You agree to provide feedback on Beta Services and acknowledge that features may be modified or discontinued at any time.

7. Builder Tools, Marketplace, and User-Generated Content

  • If you build, publish, or share templates, workflows, or content (“User Content”):

    • You retain ownership but grant Intuidy a worldwide, perpetual, irrevocable, royalty-free, sublicensable license to use, host, promote, and distribute your User Content within the Vantage ecosystem.

    • Intuidy may review, reject, or remove any User Content at its sole discretion.

    • You are solely responsible for the legality, originality, and non-infringement of your User Content.

    • Marketplace transactions may be subject to additional terms, including fees, revenue sharing, and content standards.

    • Intuidy is not liable for disputes between users or between users and third parties regarding User Content or marketplace transactions.

8. AI Features and Automation Logic

  • Vantage includes embedded AI agents (“Winston”) that assist in building and executing workflows.

  • AI outputs are probabilistic, may contain errors, and are not guaranteed to be accurate, complete, or suitable for any purpose.

  • You are solely responsible for reviewing and validating all AI-generated actions, outputs, and recommendations before relying on them or deploying them in critical workflows.

  • Intuidy disclaims all liability for decisions, actions, or losses arising from AI-generated content or automation.

9. Acceptable Use Policy

You agree not to:

  • Use the Services for any unlawful, harmful, fraudulent, or malicious activity.

  • Interfere with or disrupt the integrity, security, or performance of the Services or any third-party data or systems.

  • Attempt to gain unauthorized access, reverse engineer, copy, or clone any part of the platform.

  • Misuse, abuse, or exploit Winston or any AI capabilities for disallowed or harmful content.

  • Upload or transmit viruses, malware, or other harmful code.

  • Use the Services to infringe the intellectual property rights of others.

10. Data Privacy, Security, and Compliance

  • Intuidy processes data in accordance with our Privacy Policy, which is incorporated by reference.

  • We use industry-standard encryption, audit logs, and access controls to protect your data, but cannot guarantee absolute security.

  • You retain ownership of your data; Intuidy does not sell your data.

  • You agree not to submit sensitive personal data unless required for your workflow.

  • You are solely responsible for compliance with all applicable data protection, privacy, and regulatory laws.

  • Data backup and recovery are performed in line with best practices, but you are responsible for maintaining your own backups for critical data.

11. Third-Party Integrations

  • Vantage integrates with third-party services (e.g., Stripe, Google Sheets, Notion).

  • Use of these integrations is subject to the terms and conditions of the third-party providers.

  • Intuidy is not liable for outages, failures, data loss, or damages resulting from third-party services or integrations.

12. Intellectual Property

  • All intellectual property rights in Vantage, including software, documentation, algorithms, and branding, are owned by Intuidy or its licensors.

  • The Services are licensed, not sold, to you for use in accordance with these Terms.

  • You may not use Intuidy’s trademarks or branding without prior written consent.

  • You must respect the intellectual property rights of others when using the Services.

13. Indemnification

  • You agree to indemnify, defend, and hold harmless Intuidy, its affiliates, officers, employees, and agents from any claims, damages, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising from your use of the Services, your User Content, your violation of these Terms, or your violation of any law or third-party rights.

  • Intuidy is not responsible for any claims, damages, or losses arising from your use of AI-generated content, integrations, or User Content.

14. Limitation of Liability

  • TO THE MAXIMUM EXTENT PERMITTED BY LAW, INTUIDY AND ITS AFFILIATES, OFFICERS, EMPLOYEES, AGENTS, AND LICENSORS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, BUSINESS INTERRUPTION, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH THE SERVICES, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

  • INTUIDY’S TOTAL AGGREGATE LIABILITY FOR ANY CLAIMS ARISING FROM OR RELATED TO THE SERVICES SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT PAID BY YOU FOR THE SERVICES IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM OR (B) ONE HUNDRED DOLLARS ($100), WHICHEVER IS LESS.

  • NO ACTION, REGARDLESS OF FORM, ARISING OUT OF OR RELATING TO THESE TERMS MAY BE BROUGHT BY YOU MORE THAN ONE (1) YEAR AFTER THE CAUSE OF ACTION HAS ACCRUED.

  • THESE LIMITATIONS APPLY REGARDLESS OF THE THEORY OF LIABILITY (CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY, OR OTHERWISE) AND EVEN IF A REMEDY FAILS OF ITS ESSENTIAL PURPOSE.

  • SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES; IN SUCH CASES, OUR LIABILITY IS LIMITED TO THE MAXIMUM EXTENT PERMITTED BY LAW.

15. Disclaimers

  • THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT ANY WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, OR NON-INFRINGEMENT.

  • INTUIDY DOES NOT WARRANT THAT THE SERVICES WILL BE ERROR-FREE, UNINTERRUPTED, SECURE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.

  • INTUIDY MAKES NO GUARANTEES REGARDING THE ACCURACY, RELIABILITY, OR SUITABILITY OF AI-GENERATED CONTENT OR AUTOMATIONS.

16. Governing Law, Dispute Resolution, and Waiver of Class Actions

  • These Terms are governed by the laws of the State of [Insert State, e.g., Kansas], without regard to conflict of law principles.

  • Any disputes shall be resolved exclusively in the courts located in [Insert Jurisdiction], and you consent to the personal jurisdiction of these courts.

  • You waive any right to participate in class action lawsuits or class-wide arbitration against Intuidy.

  • Any claim you may have must be brought individually and not as a plaintiff or class member in any purported class or representative proceeding.

17. Modifications to Terms

  • Intuidy may update these Terms at any time at its sole discretion.

  • We will notify users of material changes via email or platform notification.

  • Continued use of Vantage after an update constitutes acceptance of the revised Terms.

18. Termination

  • You may cancel your account at any time via your account dashboard or by contacting support.

  • Intuidy reserves the right to suspend or terminate accounts that violate these Terms, pose risk to our systems or community, or for any reason at our sole discretion.

  • Upon termination, you will lose access to your account, stored workflows, and marketplace content. Data may be deleted after account termination, subject to our data retention policy.

  • Intuidy is not liable for any damages, losses, or claims arising from account termination.

19. Severability and Waiver

  • If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full force and effect.

  • Failure by Intuidy to enforce any right or provision of these Terms does not constitute a waiver of such right or provision.

20. Entire Agreement

  • These Terms constitute the entire agreement between you and Intuidy regarding your use of the Services and supersede all prior agreements, representations, or understandings.
